1. Acceptance

1.1 These Terms of Use shall apply to any use by you of any of the Teachers Media products or Services including, without limitation, the following service: www.teachers-media.com ("Service").

1.2 By accessing and using our Service you agree to be legally bound by these Terms of Use (including our Privacy Policy and any Special Conditions) in full and without limitation. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS OF USE IN FULL DO NOT USE OUR SERVICE.

1.3 Throughout the Service there may be additional rules or specific terms and conditions relating to specific areas or material contained as part of the Service, for example competitions or submitting contributions ("Special Conditions"). In the event of any inconsistency between these Terms of Use and the Special Conditions then the Special Conditions shall prevail.

1.4 We may change these Terms of Use and any Special Conditions at any time by posting changes online and it is your responsibility to familiarise yourself with these Terms of Use and any Special Conditions each time you access our Service. For the avoidance of doubt your use of our Service after changes are posted shall constitute your acceptance of these Terms of Use and any Special Conditions as modified.

1.5 Some of our Service may also be subject to other terms which may be entered into separately from these Terms of Use, for example, subscription terms ("Separate Terms"). In the event of any inconsistency between these Terms of Use and the Separate Terms then the Separate Terms shall prevail.

3. General Use

3.1 You agree to use the Service for your own personal, non-commercial use, for lawful purposes only and in strict accordance with these Terms of Use.

3.2 You agree not to use the Service in any way that infringes the rights of others or may restrict or inhibit the use and enjoyment of the Service by others.

3.3 We reserve the right to suspend, remove or discontinue any aspect, part or element of the Service at any time and the right to suspend or terminate your access to the Service or any part thereof should you be in breach of these Terms of Use.

3.4 You agree not to give any indication that you have any commercial relationship with us.

4. Copyright & Intellectual Property

4.1 All copyright, trademarks and other intellectual property rights in the Service (including the design, arrangement, look and feel) and all material or content supplied as part of the Service shall remain at all times our property or that of our licensors.

4.2 You may use the Service for your own personal reference. In addition, you may use the resources on the Service (including the videos) for your own non-commercial educational purposes within your educational establishment and you may exhibit the videos to non-paying audiences within your educational establishment (for example, you may show videos in any lesson you are teaching or to colleagues at work). Where the functionality of the Service allows you to download material then, subject to any Special Conditions that may apply to that material, you may keep a personal permanent copy of the downloaded material and/or you may store a copy of the downloaded material in any storage system within your educational establishment provided that its use is restricted to non-commercial educational purposes within your educational establishment.

4.3 Other than as permitted under these Terms of Use or any Special Conditions, you may not, nor may you permit or assist others, to copy, reproduce, republish, download or stream, post, broadcast, transmit, make available to the public, or otherwise use any content from the Service.

4.4 Some of our Service may be geo-blocked. You agree not to attempt to circumvent any geo-blocking software on the Service.

5. Your user submissions & community rules

5.1 Unless otherwise agreed you retain ownership in any contribution you make on the Service.

5.2 By submitting a contribution to the Service (including, without limitation, any text, photographs, graphics, video or audio) you grant to us a perpetual, royalty-free, non-exclusive, transferable right and licence to use, reproduce, modify, adapt, publish, translate, distribute, create derivative works from, play, make available to the public and exercise all copyright or similar rights (including publicity rights) in your contribution worldwide and/or to incorporate your contribution in other work in any media now known or developed in the future for the full term of any rights that may exist in your contribution. IF YOU DO NOT WISH TO GRANT THESE RIGHTS TO US PLEASE DO NOT SUBMIT YOUR CONTRIBUTION TO THE SERVICE.

5.3 You agree that any contribution to the Service by you will not:

(i) be likely to provoke, attack or offend others;

(ii) be racist or liable to incite racial or religious hatred, sexist, homophobic, abusive, threatening, menacing or otherwise objectionable;

(iii) contain swear words or other language likely to offend;

(iv) plagiarise or infringe any third party rights of any kind including, without limitation, copyright, trademark, trade secrets, privacy, publicity, personal or proprietary rights;

(v) be defamatory, obscene, indecent, pornographic, sexually explicit, seditious, or blasphemous;

(vi) break or infringe any law or condone or encourage illegal or unlawful activity;

(vii) be in contempt of court;

(viii) advertise products or Service;

(ix) impersonate, or be seen to impersonate, someone else;

(x) identify, or refer to the identity of, minors;

(xi) include contact details such as phone numbers, postcodes, postal or email addresses;

(xii) be in anything other than English; or

(xiv) be "spam" (i.e. posts containing the same, or similar, message posted multiple times)

5.4 You warrant and guarantee to us that:

(i) any contribution you make to the Service is your own original work or you have obtained all the necessary licences, rights, consents and permissions to allows us to use your contribution in full accordance with clause 5.2;

(ii) you have obtained the permission of all people who feature in your contribution for us to use your contribution;

(iii) if there are any persons under the age of 18 in your contribution, that you have also obtained the permission from their parents or guardians for us to use your contribution;

(iv) your contribution is not defamatory, obscene, indecent, pornographic, seditious, offensive, threatening, liable to incite racial or religious hatred, menacing or blasphemous; and

(v) your contribution does not infringe any law or any third party rights of any kind and is not in contempt of court

5.5 You hereby indemnify us against all actions, losses, damages, legal fees, costs, liabilities and other expenses that may be incurred by us as a result of any breach by you or caused by you of any of the warranties in clause 5.4

5.6 You waive any moral rights or rights of a similar nature in any part of the world in any contribution you make to the Service.

5.7 User contributions may only be made by registered users of the Service.

5.8 We may accept your contribution, modify your contribution, refuse to display your contribution or take down your contribution from the Service at any time at our sole and absolute discretion without notice to you for any reason.

5.9 You are responsible for the content of any submission you make and the consequences arising from its use on the Service.

5.10 You agree not to upload any files which contain any viruses or harmful programs which may in any way affect the operation of the Service or our systems.

6. Third Party Sites/ Links

6.1 We are not responsible for any third party Service or material that you access through the Service. If you decide to visit any linked site you do so at your own risk and it is your responsibility to take all protective measures to guard against viruses or other destructive elements.

6.2 We do not endorse, and are not responsible or liable for, any content, advertising, products, Service or information on or available from third party Service or material (including payment for and delivery of such products or Service).

6.3 We are not responsible for any damage, loss or offence caused by, or in connection with, any content, advertising, products, Service or information available on such Service or material. Any terms, conditions, warranties or representations associated with such dealings, are solely between you and the relevant provider of the service or material.

6.4 Links do not imply that we endorse, or are affiliated or associated with, any linked site, or are legally authorised to use any trade mark, trade name, logo or copyright symbol displayed in, or accessible through, the links or that any linked site is authorised to use any trade mark, trade name, logo or copyright symbol or material of ours.

6.5 You agree not to involve us in any dispute you may have with any third party Service without limitation.

7. Disclaimer of Liability

7.1 Nothing in these Terms of Use limits our liability for death or personal injury arising from our negligence or our liability for fraudulent misrepresentation or for any liability which cannot be excluded by law.

7.2 We will try to ensure that all information provided by us in connection with the Service is accurate at the time of inclusion. However, there may be errors, omissions or inaccuracies in respect of which we exclude all liability. We make no representation or warranty about the information included in the Service. You shall be solely responsible for any decisions based on the information contained in the Service.

7.3 We will try to ensure that the Service is maintained in a fully operating condition. We are not responsible for the results of any defects that exist in the Service. You should not assume that the Service is error free or that they will be suitable for the particular purposes that you have in mind when using them. 9.2 We shall be entitled to assign these Terms of Use (including Special Conditions) in full at any time to any third party.

9.3 The failure or decision by us not to exercise or enforce any right or remedy that we may have against you at a particular time does not constitute a waiver of that right or remedy and does not prevent us from enforcing that right or remedy at a later date.

9.4 These Terms of Use (including Special Conditions) do not create or infer any rights that are enforceable by anyone who is not party to these Terms of Use (including Special Conditions).

9.5 These Terms of Use (including any Special Conditions) shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising herefrom shall be exclusively subject to the jurisdiction of the courts of England and Wales.
